Acceptable Use Policy

This Acceptable Use Policy (this “AUP”) is issued by K12 Insight, LLC d/b/a Onflo (“Onflo”, “we”, “us”, or “our”). K12 Insight, LLC d/b/a Onflo is a Virginia limited liability company. This AUP governs the acceptable use of the Onflo Client Solutions, mobile application, and related software and services (collectively, the “Service”). This AUP is incorporated by reference into, and forms a part of, the Master Subscription Agreement between Client and Onflo, available at https://www.onflo.com/legal/cloud-services-msa (the “Agreement”). “AI Addendum” means the addendum governing AI Agent Services, which is incorporated by reference into the Agreement. “Calling Laws” means the CAN-SPAM Act of 2003, the Telephone Consumer Protection Act (47 U.S.C. §227), the Do-Not-Call Implementation Act and the Do-Not-Call list registry rules (www.donotcall.gov), the Telemarketing Sales Rule, 47 C.F.R. § 64.1200 et seq., and all other state or local laws, rules, regulations, and guidelines relating to calling or texting, including without limitation rules, regulations, and guidelines set forth by the Federal Trade Commission and the Federal Communications Commission. “Communications” means email, calls, SMS/MMS messages, or other communications transmitted, sent, received, or facilitated through the Service. Capitalized terms used but not defined in this AUP have the meanings given in the Agreement.

1. SCOPE AND APPLICABILITY.

1.1. This AUP applies to all Users of the Service. Each User is responsible for its conduct while using the Service, including the input of all User Content and User Data, and communications with others through the Service.

1.2. You shall comply with this AUP at all times when accessing or using the Service. If you are a Client, you are responsible for ensuring that your Authorized Users comply with this AUP.

2. PROHIBITED USES.

You shall not use the Service in any of the following ways:

2.1. System Integrity and Security.

  1. You shall not misuse the Service by interfering with its normal operation or attempting to access it using a method other than through the interfaces and instructions that we provide. You shall not use automated tools, bots, crawlers, scrapers, or scripts to access, extract, or collect data from the Service, except through application programming interfaces (APIs) that Onflo has expressly authorized in writing or in the applicable SOF.
  2. You shall not probe, scan, or test the vulnerability of the Service, including any Onflo system or network.
  3. You shall not deny others access to the Service, or attempt to do so.
  4. Unless permitted by applicable law, you shall not reverse engineer, decompile, or disassemble the Service, or attempt to do so.
  5. You shall not transmit or upload any viruses, worms, malware, or other types of malicious software, or links to such software, through the Service.

2.2. Account and Access Restrictions.

  1. You shall not circumvent or attempt to circumvent any limitations that Onflo imposes on your account.
  2. You shall not resell, transfer, or lease the Service or use the Service for any commercial solicitation purposes.

2.3. Content and Communications Standards. Certain features of the Service allow Users to send Communications to other Users.

  1. You shall not transmit obscene, threatening, harassing, hate-oriented, defamatory, racist, illegal, or otherwise objectionable messages or material, including any Communications that disparage any individual or group, through the Service.
  2. You shall not impersonate another person or otherwise misrepresent your affiliation with a person or entity or conduct fraud.
  3. You shall not use the Service to bully, harass, intimidate, or otherwise offend any individual or group, and you shall not engage in any behavior or instigate or participate in any communication via the Service that violates the law.
  4. You acknowledge and agree that Onflo is not obligated to monitor or filter Communications or data transmitted through the Service and that we shall not be responsible for the content of any such Communications or transmissions.

2.4. Legal Compliance.

  1. You shall not use the Service to infringe on any third-party right, including any Intellectual Property Rights, privacy rights, or publicity rights of others, or to engage in any activity that violates any law, including, but not limited to, the Health Insurance Portability and Accountability Act (HIPAA), the Children’s Online Privacy Protection Act (COPPA), or the Family Educational Rights and Privacy Act (FERPA), or which would result in Onflo violating any law due to your use or misuse of the Service.

2.5. Usage and Commercial Restrictions.

  1. You shall not engage in abusive or excessive usage of the Service, which is usage significantly in excess of average usage patterns that adversely affects the speed, responsiveness, stability, availability, or functionality of the Service for other Users. Onflo will endeavor to notify you of any abusive or excessive usage to provide you with an opportunity to reduce such usage to a level acceptable to Onflo.
  2. You shall not promote or condone the sending of unsolicited email, calls, or SMS/MMS text messages to individuals not affiliated with you, nor use the Service to engage in spamming or other unsolicited advertising, marketing, or other commercial or non-commercial activities, including, without limitation, any activities that violate the Calling Laws, and you shall not transmit, or cause to be transmitted, Communications to any recipient who has unsubscribed, withdrawn consent, or otherwise opted out of receiving Communications from you or your Authorized Users. For specific obligations applicable to Clients who use the Service for Communications, see the Agreement, Section 9.4.

3. SERVICE-SPECIFIC USE RESTRICTIONS.

3.1. Onflo Platform. If you are a Client and have a Subscription to the Onflo Platform under an applicable Sales Order Form (“SOF”), the following additional terms apply:

  1. If a User submits anonymous or semi-anonymous feedback, you shall use commercially reasonable measures to prevent linking that feedback to the identity of that User.
  2. If a User dialogue includes language that includes threats, safety concerns, or harassment, the identity of the User may be revealed: (i) by Onflo, at its sole discretion, as we deem reasonably necessary to protect Onflo, our users, or others, or as required by law or pursuant to a legal request; or (ii) by an administrative user of the Client, provided that such user warrants and affirms to have a reasonable basis to believe that identification is necessary to protect the life, health, or safety of an individual.

3.2. IT Asset Management and IT Service Management. If you are a Client and have a Subscription for IT Asset Management (“ITAM”) and IT Service Management (“ITSM”) under an applicable SOF, the following additional terms apply:

  1. You shall not access or attempt to access any systems, data, or IT assets that you are not authorized to access. This includes ITAM systems, tracking data, and ITSM service tickets belonging to other users.
  2. You shall not interfere with, modify, or tamper with IT assets managed under ITAM services. You shall not provide false or misleading information regarding asset configurations, licensing, or usage.
  3. You shall not submit false, irrelevant, or excessive service requests via ITSM systems. You shall limit service requests to legitimate IT issues or incidents and refrain from abusing the ticketing system for unrelated matters.
  4. You shall not disable, interfere with, or circumvent any monitoring, tracking, or compliance tools used as part of ITAM or ITSM services.
  5. You shall not use IT assets managed through the Service for illegal, unauthorized, or harmful activities, including using unlicensed software, engaging in data theft, or accessing restricted systems without permission.
  6. You shall not engage in any activity that interferes with or compromises the IT assets or IT services of other Clients. Disrupting or degrading another user’s assets or service performance is strictly prohibited.
  7. You shall ensure that your use of IT assets complies with all applicable software licensing agreements, organizational policies, and relevant laws.
  8. You shall not exceed any service usage limits or restrictions imposed by Onflo or repeatedly submit non-urgent service requests.

3.3. Telephony Services. The communication services provided by Onflo as part of the Service, including but not limited to “Basic Telephony” and the optional “Call Center” service, are intended for use solely for requesting, receiving, or responding to feedback, inquiries, questions, comments, or concerns from students, parents, or guardians. These services shall not be used for general business communications, such as scheduling meetings or sending routine notifications, or for any other purposes. Additionally, the Basic Telephony service is limited to 10 phone lines with unlimited calls and messages, unless specified otherwise in the applicable SOF. The optional Call Center service allows for IVR capabilities, but all responses must be directly related to responding to student, parent, or guardian inquiries, comments, and concerns. The specific telephony services, features, line limits, and pricing applicable to Client are as set forth in the applicable SOF. You are responsible for ensuring that all telephony usage complies with this limitation.

3.4. AI Agent Services. If you are a Client that uses AI Agent Services, you shall comply with all use restrictions set forth in the AI Addendum, including but not limited to the prohibited uses specified in Section 6 thereof. For the complete set of terms governing AI Agent Services, including data handling obligations and consent requirements, see the AI Addendum, which is incorporated by reference into the Agreement.

4. CONSEQUENCES OF VIOLATION.

4.1. Any use of the Service in breach of this AUP by you or your Authorized Users that, in Onflo’s judgment, threatens the security, integrity, or availability of the Service, or the rights or property of Onflo or other Users, may result in immediate suspension of your access to the Service and/or termination of the Agreement.

4.2. Onflo will endeavor to provide you with notice and an opportunity to remedy a violation of this AUP where commercially reasonable under the circumstances; however, Onflo reserves the right to take immediate action without prior notice where Onflo reasonably determines that such action is necessary to protect the Service, Onflo, or other Users from harm.

4.3. Nothing in this AUP limits Onflo’s rights or remedies under the Agreement.

5. GENERAL PROVISIONS.

5.1. Governing Law. This AUP shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its own or other conflict of law principles, consistent with the Agreement.

5.2. Waiver. The failure by Onflo to enforce any right or provision of this AUP shall not constitute a waiver of that provision or any other provision of this AUP.

5.3. Severability. If any provision of this AUP is determined to be invalid or unenforceable by a court of competent jurisdiction, the remainder of this AUP shall remain in full force and effect.

5.4. Changes to This AUP. Onflo may, in its sole discretion, modify or update this AUP from time to time. If Onflo changes this AUP in a material manner, Onflo shall update the “Effective Date” at the bottom of this page. Client’s continued use of the Service following such update constitutes Client’s acceptance of the revised AUP. If Client does not agree to any of the terms in this AUP, Client shall not use or access the Service.

5.5. Entire Agreement. This AUP, together with the Agreement and any other documents incorporated by reference therein, represents the entire agreement between the parties with respect to the acceptable use of the Service and supersedes all prior agreements relating to such subject matter, whether written or oral.

5.6. Survival. The following provisions of this AUP shall survive any expiration or termination of the Agreement: Section 2 (Prohibited Uses), Section 3 (Service-Specific Use Restrictions), and this Section 5 (General Provisions).
